Welcome to NeonNX (“we”, “us”, “our”), a digital marketing and technology brand operated by ACEPHTOR TECHNOLOGY LLP (LLPIN: ACN-7930), a Limited Liability Partnership incorporated under the Ministry of Corporate Affairs, Government of India, with its registered office at Kautilya Nagar, L.B.S. Nagar, Patna, Phulwari, Bihar – 800023, India.

By accessing our website (https://neonnx.com) or using any of our services, you agree to be bound by these Terms of Service (“Terms”). Please read them carefully. If you do not agree, you must not use our services.

2. Services Offered

NeonNX provides the following digital services:

  • Social Media Marketing – Strategy, content creation, and campaign management across social platforms.
  • Website Development – Design and development of responsive, performance-optimised websites.
  • Digital Consultancy – Strategic guidance for digital transformation and online growth.
  • Email Marketing – Personalised email campaign design, execution, and reporting.
  • Online Presence Analysis – Audit and analysis of your brand’s digital footprint with actionable recommendations.

The scope, deliverables, timelines, and pricing for each engagement are defined in a separate Service Agreement or Proposal issued to the client.

3. Eligibility

To use our services, you must:

  • Be at least 18 years of age, or have the legal consent of a parent or guardian.
  • Have the legal authority to enter into a binding agreement on behalf of yourself or your organisation.
  • Not be barred from receiving services under applicable Indian law or any other applicable jurisdiction.

4. Client Obligations

As a client or user of NeonNX services, you agree to:

  • Provide accurate, complete, and up-to-date information required for service delivery.
  • Supply all necessary assets, content, credentials, and approvals in a timely manner.
  • Ensure that any materials provided to us (including logos, images, text, and brand assets) do not infringe upon any third-party intellectual property rights.
  • Comply with all applicable laws in connection with your use of our services.
  • Not use our services for any unlawful, fraudulent, or harmful purpose.

5. Payments & Fees

  • All fees are as quoted in the agreed proposal or invoice issued by NeonNX.
  • Payments are due as per the payment schedule specified in the Service Agreement.
  • Invoices not paid within the due date may attract a late fee as specified in the agreement.
  • All prices are in Indian Rupees (INR) unless otherwise stated, and are exclusive of applicable taxes (including GST).
  • We reserve the right to suspend services in the event of non-payment.

6. Intellectual Property

6.1 Client Assets You retain full ownership of all materials, content, and brand assets you provide to us. By providing them, you grant NeonNX a limited, non-exclusive licence to use them solely for the purpose of delivering your contracted services.

6.2 Deliverables Upon receipt of full payment, all custom deliverables created specifically for your project (such as website design, content, and reports) will be transferred to you.

6.3 NeonNX Property All tools, methodologies, templates, frameworks, pre-existing intellectual property, and proprietary processes developed or owned by NeonNX remain our sole property. Nothing in these Terms transfers ownership of our underlying IP to you.

6.4 Portfolio Rights Unless you request otherwise in writing, NeonNX reserves the right to feature completed work in our portfolio and marketing materials.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of the service relationship. Neither party shall disclose the other’s confidential information to any third party without prior written consent, except as required by law.

8. Warranties & Disclaimers

  • NeonNX provides services on an “as available” basis and makes no guarantee of specific outcomes such as search rankings, follower growth, or revenue increases.
  • We do not warrant that our website will be error-free, uninterrupted, or free of viruses or other harmful components.
  • Digital marketing results depend on numerous external factors beyond our control, including platform algorithm changes, market conditions, and client-side implementation.
  • To the fullest extent permitted by applicable law, NeonNX disclaims all implied warranties, including those of merchantability and fitness for a particular purpose.

9. Limitation of Liability

To the maximum extent permitted by applicable Indian law, ACEPHTOR TECHNOLOGY LLP and its partners shall not be liable for:

  • Any indirect, incidental, consequential, or punitive damages arising from your use of our services.
  • Loss of data, revenue, profits, or business opportunities.
  • Any damages arising from third-party platform changes, outages, or policy updates.

Our total aggregate liability in connection with any service shall not exceed the total fees paid by you for that specific service in the preceding three (3) months.

10. Termination

By the Client: You may terminate a service engagement by providing written notice as specified in your Service Agreement.

By NeonNX: We reserve the right to suspend or terminate services immediately if:

  • You breach any provision of these Terms or your Service Agreement.
  • Payment obligations are not met.
  • You engage in any unlawful, abusive, or fraudulent activity.

Upon termination, all outstanding payments become immediately due, and both parties shall return or destroy confidential information of the other party.

11. Third-Party Platforms & Tools

Our services may involve the use of third-party platforms (e.g., Meta, Google, WordPress, Mailchimp). Your use of such platforms is subject to their respective terms and policies. NeonNX is not responsible for any changes, restrictions, or losses arising from third-party platform actions.

12. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved amicably. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts located in Patna, Bihar, India.

13. Amendments

NeonNX reserves the right to update these Terms at any time. Any changes will be posted on our website with a revised effective date. Continued use of our services after changes are posted constitutes your acceptance of the revised Terms. We recommend reviewing this page periodically.
